These Terms of Service ("Terms") govern your access to and use of the services provided by Lensverse Technologies ("we", "our", "us"), including visual production, editing, VFX, AI-related services, and any related digital products (collectively, the "Services"). By using our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

1. Use of Services

• You must be at least 18 years old or have legal capacity to enter into a binding contract.
• You agree to provide accurate information when engaging our Services.
• You are responsible for maintaining the confidentiality of any login credentials associated with project portals or shared workspaces.

2. Client Materials and Responsibilities

• You represent and warrant that you own or have the necessary rights and licenses to use all materials (including videos, images, audio, branding, scripts, and other content) you provide to us ("Client Materials").
• You are solely responsible for any copyright, trademark, privacy, or other legal issues arising from the Client Materials you supply.
• You agree not to provide materials that are illegal, defamatory, hateful, or violate any third-party rights.
• Delays in providing assets, approvals, or feedback may affect project timelines and delivery dates.

3. Project Scope, Revisions, and Delivery

• Project scope, deliverables, pricing, and timelines will be discussed and confirmed in writing (e.g., via email or proposal).
• Unless otherwise agreed, projects include a reasonable number of revisions. Additional revisions may incur extra charges.
• Delivery timelines are estimates and may change based on the complexity of the project, client responsiveness, and unforeseen circumstances.

4. Payments and Refunds

• An advance payment (typically 50% or as agreed in writing) is required to start a project.
• The remaining balance is due upon completion and before final delivery of high-resolution or source files.
• Payments are generally non-refundable once production, editing, or AI generation work has commenced, except where required by applicable law or explicitly agreed in the project agreement.

5. Ownership and License

• Upon full payment, you receive rights to use the final delivered assets as agreed (e.g., for marketing, internal use, broadcasting).
• Lensverse retains ownership of its pre-existing intellectual property, tools, templates, and know-how used in delivering the Services.
• Unless otherwise agreed via a Non-Disclosure Agreement (NDA) or written restriction, Lensverse may showcase the final work or excerpts in its portfolio, showreels, website, and marketing materials.

6. AI-Generated Content

Where AI tools are used in the creative process:

• AI-generated outputs may sometimes resemble patterns or styles present in training data due to technical limitations of AI models.
• We will work with you to ensure that outputs respect your branding and usage requirements, but we cannot guarantee exclusivity of certain generic visual elements.
• You agree not to use AI-assisted outputs for unauthorized impersonation, deepfakes without consent, or activities that violate applicable laws.

7. Prohibited Uses

You agree not to use any delivered content or our Services for:

• Illegal, fraudulent, or deceptive activities.
• Harassment, hate speech, or promotion of violence.
• Defamation, invasion of privacy, or violation of publicity rights.
• Unauthorized deepfake creation or impersonation without clear consent from the individuals involved.

8. Limitation of Liability

To the maximum extent permitted by law, Lensverse and its partners shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of profits, revenue, data, or business opportunities arising out of the use or inability to use our Services.
• Delays or failures caused by third-party platforms, hosting services, payment gateways, or internet issues.

In any case, our total liability for any claim related to the Services shall be limited to the amount you paid to us for the specific project giving rise to the claim.

9. Termination

• We may suspend or terminate Services if you fail to make payments when due, violate these Terms, or engage in abusive or unethical behavior.
• Upon termination, you remain responsible for payment of any completed work or expenses incurred up to the termination date.

10. Confidentiality and NDAs

We treat client projects with confidentiality as a standard practice. If required, we can sign a separate Non-Disclosure Agreement (NDA) to formalize confidentiality and usage limitations for specific projects.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of laws principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Gurgaon, Haryana, unless otherwise required by applicable law.

12. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on our website with a revised "Effective Date". Continued use of the Services after changes take effect constitutes your acceptance of the updated Terms.
